Stock Exchange of Mauritius (SEM)

The Stock Exchange of Mauritius (SEM) is Mauritius's securities exchange, regulated by the Financial Services Commission, on which shares, bonds and fund units are traded.

Definition

The Stock Exchange of Mauritius (SEM) is Mauritius's securities exchange. It organises the listing and trading of shares, bonds and fund units, and brings together issuers seeking capital with local and international investors.

Framework in Mauritius

The SEM is regulated by the Financial Services Commission (FSC), the supervisory authority for non-bank financial services in Mauritius. Companies seeking listing, as well as intermediaries (brokers, account holders), operate under FSC oversight and in accordance with the SEM's own listing rules. Several types of Mauritian entities — domestic companies, Global Business Companies (GBC), funds structured as a Protected Cell Company (PCC) or a Variable Capital Company (VCC) — may, subject to eligibility, have their securities admitted to listing on the SEM.

In practice

Admission to listing requires meeting governance, financial transparency and disclosure criteria specific to the market chosen, as well as ongoing compliance with reporting and compliance obligations. Choosing the SEM may serve several objectives: access to local and regional capital, institutional visibility, or the structuring of investment vehicles (funds, GBCs) aimed at investors seeking a recognised listing. Each listing project must be examined case by case, depending on the entity's legal structure, its shareholding and its objectives; the eligibility conditions, timeframes and costs associated with a listing vary by market and by file, and must be confirmed directly with the SEM or a qualified adviser. This route is not suited to every structure: it is aimed primarily at companies able to meet the transparency and governance obligations it entails.

Related terms

The SEM is part of a broader Mauritian ecosystem: the Financial Services Commission (FSC) provides its oversight; Global Business Companies (GBC) and certain fund vehicles such as the Protected Cell Company (PCC) or the Variable Capital Company (VCC) are among the structures that may be admitted to its listing; the concept of free float denotes the portion of capital actually available for public trading once securities are listed.
